Terms of Service

1. Acceptance of Terms

ShipWave is developed, owned, and operated by Levy Electric, Inc. By accessing or using ShipWave ("Service"), including our Shopify app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

ShipWave provides shipping management services including:

  • Shipping rate comparison across multiple carriers
  • Discounted shipping label generation
  • Order syncing from e-commerce platforms (including Shopify)
  • Fulfillment tracking and updates
  • Warehouse and inventory management
  • Automation rules for shipping workflows

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

4. Shopify App Integration

When you install our Shopify app, you authorize us to:

  • Access your store's order, product, and fulfillment data
  • Create fulfillments and update tracking information
  • Receive webhooks for order updates
  • Access location and inventory data for warehouse management

You can revoke this access at any time by uninstalling the app from your Shopify admin.

4.1 Etsy Integration

If you connect an Etsy seller account, you authorize ShipWave to use Etsy's official API to read your shop, listings, paid orders, and shipping details; create, update, or delete listings at your direction; update inventory; and submit shipment tracking or refunds that you initiate. ShipWave requests only the permissions needed for those functions. ShipWave does not request or store Etsy buyer email addresses unless Etsy separately approves that access and we update these Terms and our Privacy Policy.

You may use the Etsy integration only for products eligible under Etsy's Creativity Standards and other seller policies. For every listing you publish through ShipWave, you must accurately identify who made the item, when it was made, whether it is a craft supply, and whether it was made, designed, handpicked, or sourced by you. You must also disclose production partners in Etsy where required. ShipWave may block a listing or suspend Etsy functionality when the required eligibility information is absent or inconsistent.

Etsy's seller fees, payment-processing fees, advertising charges, refunds, and other marketplace charges are established and collected by Etsy under your separate agreement with Etsy. ShipWave's fees, if any, are separately disclosed by ShipWave. ShipWave is not a party to transactions between you and Etsy or between you and Etsy buyers.

AND ITS AFFILIATES ARE NOT THE APPLICATION DEVELOPER, DO NOT PROVIDE THE APPLICATION SERVICE, AND MAKE NO WARRANTIES OF ANY KIND WITH RESPECT TO THE APPLICATION OR DATA ACCESSED THROUGH IT.

Etsy is a trademark of Etsy, Inc. ShipWave uses the Etsy API but is not endorsed or certified by Etsy, Inc. You can revoke ShipWave's access through Etsy and disconnect the channel in ShipWave. Etsy may change, restrict, or discontinue its API or your Etsy account access at any time, which may interrupt the integration.

5. Shipping Services

ShipWave acts as an intermediary between you and shipping carriers (USPS, UPS, FedEx, DHL, and others). You acknowledge that:

  • Shipping rates and transit times are estimates and subject to carrier terms
  • You are responsible for accurate package dimensions and weights
  • Claims for lost or damaged packages must be filed according to carrier policies
  • Prohibited items cannot be shipped through our Service

5.1 Prohibited and Restricted Items

You certify with each shipment that it contains no undeclared dangerous goods or items prohibited by the selected carrier. Without limitation, the following may not be shipped through self-serve checkout: lithium or other batteries (standalone or installed), aerosols, flammable liquids or solids (including perfume, nail polish, hand sanitizer, and paint), compressed gases, explosives, fireworks, ammunition and firearms, corrosives, pesticides, mercury, dry ice, illegal substances, and any item regulated as hazardous material under 49 CFR, IATA, or carrier rules. Shipments to destinations subject to comprehensive U.S. sanctions, or to parties on U.S. government restricted-party lists, are prohibited and are screened and blocked.

You are solely responsible for the contents of your shipments. Misdeclared or prohibited shipments may be seized, destroyed, or returned at your expense, and you are responsible for all resulting carrier penalties, fines, government sanctions, and costs, which you agree to reimburse and indemnify ShipWave for under Section 11.

5.2 Freight Booking Cancellation Policy

Once a freight booking is confirmed, the selected carrier is dispatched. Any customer-requested cancellation after booking confirmation and carrier dispatch is subject to a $150 cancellation fee. Requests to change a confirmed freight shipment may require cancellation and rebooking and are subject to the same fee when the original carrier has already been dispatched. Contact support as soon as possible if you need to cancel or change a freight booking.

6. Fees and Payment

You agree to pay all fees associated with your use of the Service:

  • Shipping label costs are charged at the time of purchase
  • Service fees may apply as displayed during checkout
  • All sales are final; refunds follow carrier refund policies
  • You are responsible for any address correction or adjustment fees

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Ship prohibited or restricted items
  • Provide false or misleading shipping information
  • Attempt to circumvent security measures
  • Resell or redistribute the Service without authorization
  • Interfere with the proper functioning of the Service

8. Intellectual Property

The Service, including its design, features, and content, is owned by ShipWave and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPWAVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SHIPWAVE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ShipWave, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and changing the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
